TIZIN CREATOR AGREEMENT

This Creator Agreement (“Agreement”) is entered into between Cocco Enterprises, LLC, a Texas limited liability company, operating the Tizin platform (“Tizin”, “we”, “us”), and the individual or entity accepting this Agreement (“Creator”, “you”).

By submitting, uploading, or making content available through the Tizin creator platform, you agree to be bound by this Agreement.

1. Eligibility

You represent and warrant that:

• You are at least 18 years old; and
• You have full legal authority to enter into this Agreement.

If you are acting on behalf of an entity, you represent that you are authorized to bind that entity.

2. Creator Content

“Creator Content” means any videos, images, or audiovisual materials submitted by you to Tizin through the creator platform.

You retain ownership of your Creator Content, subject to the license granted below.

3. License Grant (Non-Exclusive)

You grant Tizin a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to:

• host, store, and process the Creator Content;
• distribute, stream, and publicly display the Creator Content through Tizin’s mobile applications and websites;
• adapt, transcode, resize, or format the Creator Content for technical, moderation, or delivery purposes;
• promote the Service using excerpts, thumbnails, or previews of the Creator Content.

This license remains in effect for as long as the Creator Content is made available on the Service.

4. Content Review and Approval

All Creator Content is subject to review and approval by Tizin, which may include automated systems and artificial intelligence tools.

Tizin may:

• approve or reject Creator Content at its sole discretion;
• request modifications;
• remove approved content at any time.

Approval does not constitute endorsement and does not guarantee continued availability.

5. Representations and Warranties

You represent and warrant that:

• you own or control all rights necessary to grant the license above;
• all individuals appearing in the Creator Content have provided valid consent for commercial distribution;
• the Creator Content does not infringe intellectual property, privacy, publicity, or other rights;
• the Creator Content complies with all applicable laws and platform policies.

6. AI-Generated Content by Creator

If Creator Content is generated in whole or in part using artificial intelligence or automated systems:

• you represent that you have the legal right to use all tools, prompts, models, and input materials;
• the content must not impersonate or closely resemble real individuals without authorization;
• you must disclose AI-generated content when requested by Tizin.

7. Tizin-Generated AI Content

Content generated by Tizin using artificial intelligence (“Tizin AI Content”) is not Creator Content and does not entitle any Creator to compensation or revenue share.

8. Content Restrictions

Creator Content must not include:

• explicit sexual acts involving genital contact;
• pornography involving minors;
• non-consensual or exploitative material;
• illegal, deceptive, or misleading content;
• impersonation of real individuals without authorization.

Violation may result in removal, suspension, or termination.

9. Compensation

Creators may be eligible for compensation based on approved Creator Content, as determined by Tizin.

Key terms:

• Compensation amounts, if any, are defined by Tizin and may vary.
• Payments are issued approximately thirty (30) days after publication of approved content.
• Payments are subject to verification, fraud prevention, and compliance checks.
• Tizin may withhold or adjust payments in cases of policy violations or invalid activity.

10. Payment Methods

Payments may be issued via:

• PayPal (currently supported); or
• Stripe Connect or other payment providers (future).

Creators are responsible for:

• providing accurate payment information;
• taxes, fees, and reporting obligations.

11. Termination

Either party may terminate this Agreement at any time.

Upon termination:

• Tizin may remove Creator Content within a reasonable period;
• accrued but unpaid compensation may be forfeited if violations occurred.

Sections relating to licenses, indemnification, and governing law survive termination.

12. Indemnification

You agree to indemnify and hold harmless Tizin from any claims, damages, or expenses arising from:

• Creator Content;
• breach of this Agreement;
• violation of third-party rights.

13. Limitation of Liability

To the maximum extent permitted by law, Tizin’s total liability arising from this Agreement will not exceed amounts paid to you, if any, in the twelve (12) months preceding the claim.

14. Governing Law

This Agreement is governed by the laws of the State of Texas, United States, without regard to conflict-of-laws principles.
