TIZIN CREATOR AGREEMENT

This Creator Agreement (“Agreement”) is entered into between Cocco Enterprises, LLC, a Texas limited liability company, operating the Tizin platform (“Tizin”, “we”, “us”), and the individual or entity accepting this Agreement (“Creator”, “you”).

By submitting, uploading, or making content available through the Tizin creator platform, you agree to be bound by this Agreement.

1. Eligibility

You represent and warrant that:

• You are at least 18 years old; and
• You have full legal authority to enter into this Agreement.

If you are acting on behalf of an entity, you represent that you are authorized to bind that entity.

2. Definitions

“Creator Content” means any videos, images, audiovisual materials, thumbnails, metadata (title, tags, categories), and any related materials submitted by you.

“Approved Content” means Creator Content that is approved by Tizin for publication and acquisition under this Agreement.

“Buyout Payment” means the fixed compensation amount determined by Tizin for Approved Content.

3. Commercial Nature of the Transaction

3.1. You acknowledge that the creator platform is a commercial submission and acquisition portal, and that uploading content is an act of offering digital assets for sale (not a social-media posting).

3.2. Tizin operates as a publisher, curator, and distributor. Approved Content is incorporated into a curated catalog and may be presented anonymously / white-label.

4. Review, Approval, and Classification

4.1. All Creator Content is subject to review and approval by Tizin, which may include automated systems and artificial intelligence tools.

4.2. Tizin may, at its sole discretion:

• approve, reject, or request changes;
• classify Approved Content into tiers/levels for compensation purposes;
• remove or discontinue distribution of Approved Content at any time.

4.3. Approval does not constitute endorsement and does not guarantee continued availability.

5. Rights Structure (Two-Stage: Submission License → Exclusive Assignment on Approval)

5.1 Submission License (Pre-Approval)

Until content is approved, you grant Tizin a limited, worldwide, royalty-free license to:

• host, store, process, and review the Creator Content;
• run technical checks (transcoding, resizing, formatting);
• perform moderation, originality/fingerprinting checks, and compliance verification.

This limited license exists solely to operate the creator platform and evaluate the submission.

5.2 Exclusive Assignment (Buyout) Upon Approval and Payment

Upon (i) Tizin’s approval and (ii) confirmation of the Buyout Payment, you irrevocably assign to Tizin, on an exclusive, worldwide, perpetual (for the maximum duration permitted by applicable law), transferable, and sublicensable basis, all economic/patrimonial rights in and to the Approved Content, including the right to:

• reproduce, distribute, stream, publicly perform and display;
• edit, adapt, translate, modify, create derivatives, compile, and transform;
• package into collections, playlists, and catalogs;
• sublicense, commercialize, and monetize in any media now known or later developed.

5.3 No Royalties / No Residuals

The Buyout Payment constitutes full consideration. No royalties, revenue share, or additional payments are due for any exploitation of Approved Content, including secondary licensing.

6. Exclusivity and Non-Reposting

6.1. Approved Content must be exclusive to Tizin.

6.2. You agree that you will not, and will not authorize any third party to:

• upload, distribute, license, sell, or publish the Approved Content elsewhere;
• publish the same content or a substantially similar version (including re-edits, re-uploads, mirrored copies, or format variations intended to replicate the same work).

6.3. Breach of exclusivity is a material breach and may result in:

• immediate termination;
• takedown requests;
• withholding or clawback of unpaid amounts;
• additional remedies to the maximum extent permitted by law.

7. Moral Rights and Attribution (White-Label / Anonymity)

7.1. You acknowledge that, in certain jurisdictions (including Brazil), moral rights may be inalienable.

7.2. To the extent moral rights apply, you expressly consent to the non-exercise of attribution/credit in connection with the Approved Content, recognizing that:

• Tizin’s product experience is curated and white-label;
• authorship credit will not be displayed in the primary viewing interface;
• the content may be presented without identifying you as the author/performer.

7.3. This consent is an essential condition of this Agreement and is compensated through the Buyout Payment.

8. Image, Voice, and Personality Rights (Model Release)

8.1. You grant Tizin a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free license to use your image, voice, likeness, name (if ever needed), and performance as embodied in the Approved Content for:

• commercial distribution and monetization;
• marketing, trailers, ads, and promotional materials;
• editorial curation and catalog presentation;
• technical operations (compression, clipping, thumbnails).

8.2. If any third party appears in the Creator Content, you represent and warrant that you have obtained all necessary written consents/releases (including image/voice rights) allowing the full scope of use described in this Agreement.

8.3. You are solely responsible for any claims arising from missing or invalid releases.

9. AI, Machine Learning, and Data Licensing

9.1. You expressly authorize Tizin to use Approved Content for:

• machine learning training;
• computer vision and content understanding;
• generative AI development;
• dataset compilation, benchmarking, and evaluation;
• licensing of content (or derived datasets) to third parties for AI/ML purposes.

9.2. This authorization is included in the exclusive assignment and does not entitle you to additional compensation beyond the Buyout Payment.

10. Representations and Warranties

You represent and warrant that:

• the Creator Content is original and you control all rights necessary to submit and sell it;
• no copyrighted music, film/TV clips, watermarks, or third-party content is used unless you have explicit rights to commercially sublicense it;
• all individuals appearing have provided valid consent for the uses described;
• the content does not infringe intellectual property, privacy, publicity/personality, or other rights;
• the content complies with applicable laws and platform policies.

11. Content Restrictions

Creator Content must not include:

• explicit sexual acts involving genital contact;
• pornography involving minors;
• non-consensual or exploitative material;
• illegal, deceptive, or misleading content;
• impersonation of real individuals without authorization;
• content that violates Tizin’s policies.

Violation may result in removal, suspension, termination, and withholding of amounts.

12. Compensation, Hold Period, and Payment Timing

12.1. Creators may be eligible for Buyout Payment only for Approved Content.

12.2. Compensation amounts are determined by Tizin and may vary by classification/tier.

12.3. Payments are issued approximately thirty (30) days after publication of Approved Content, and may be subject to:

• fraud prevention;
• rights verification;
• compliance checks;
• a hold/quarantine period where applicable.

12.4. Tizin may withhold, adjust, or cancel payments in cases of violations, infringement claims, invalid activity, or suspected fraud.

13. Payment Methods, KYC, Taxes

13.1. Payments are issued and processed via Stripe.

13.2. You are responsible for:

• providing accurate payment information;
• completing identity verification (KYC) as requested;
• taxes, fees, and reporting obligations.

14. Termination

14.1. Either party may terminate this Agreement at any time.

14.2. Termination does not revoke Tizin’s rights in Approved Content already acquired under Section 5.2.

14.3. Accrued but unpaid amounts may be forfeited in case of breach, fraud, or policy violations.

Sections relating to assignment, licenses, non-attribution consent, indemnification, limitation of liability, and governing law survive termination.

15. Indemnification

You agree to indemnify and hold harmless Tizin from any claims, damages, losses, or expenses arising from:

• Creator Content or Approved Content;
• breach of this Agreement;
• violation of third-party rights (including image/voice and copyright).

16. Limitation of Liability

To the maximum extent permitted by law, Tizin’s total liability arising from this Agreement will not exceed amounts paid to you in the twelve (12) months preceding the claim.

17. Modifications

Tizin reserves the right to modify this Agreement at any time. We will notify you of any material changes by posting the updated Agreement on the creator platform or via email. Your continued participation in the creator platform following such modifications constitutes your acceptance of the revised Agreement.
